1.Introduction

Welcome to CSSENTIAL ("Agency", "we", "us", "our"). These Terms and Conditions govern your use of our website and the services we provide. By accessing our website or engaging our services, you agree to be bound by these terms in full. If you disagree with any part of these terms, you must not use our services.

2.Services & Scope of Work

Our services include, but are not limited to, web design, web development, API development, and digital strategy consultation. The specific scope, deliverables, timeline, and fees for any project will be detailed in a formal "Project Proposal" or "Statement of Work" provided to the Client ("you"). This document, once signed, forms a binding part of this agreement.

3.Intellectual Property Rights

Upon full and final payment for a project, the Client is granted an exclusive, perpetual license to use the final, delivered website or application. However, the Agency retains full ownership of all pre-existing code, libraries, proprietary tools, and methodologies used in the creation of the project. The Agency also retains the right to display the completed project in our portfolio and marketing materials.

4.Payments & Fees

All projects require a non-refundable upfront deposit as specified in the Project Proposal. The remaining balance is due upon project completion and before the final deliverables are deployed to the Client's live server. Late payments may incur interest at a rate of 5% per month. All fees are quoted in USD unless otherwise stated.

5.Client Responsibilities

The Client agrees to provide all necessary content, materials, and feedback in a timely manner as required for the project's progression. Delays in providing these assets may result in a corresponding delay in the project timeline and may incur additional costs.

6.Confidentiality

Both the Agency and the Client agree to keep all confidential information, including trade secrets, business strategies, and project details, private and not to disclose it to any third party without prior written consent.

7.Limitation of Liability

In no event shall CSSENTIAL be liable for any lost profits, data loss, or any indirect, special, incidental, or consequential damages arising out of or in connection with our services or this agreement. Our total liability to you for any and all claims shall not exceed the total amount of fees paid by you to us for the specific project in question.

8.Termination

Either party may terminate a project by providing 30 days' written notice. In the event of termination by the Client, you agree to pay for all work completed up to the date of termination. If the Agency terminates the agreement without cause, a reasonable refund will be calculated for any work not yet completed.

9.Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom, and you submit to the exclusive jurisdiction of the courts of the United Kingdom for the resolution of any disputes.

10.Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any significant changes, but it is your responsibility to review these terms periodically. Continued use of our services after any such changes shall constitute your consent to such changes.
